Terms of Service.

How we work together - scope, payment, ownership, and the obligations both sides sign up to.

Last updated: August 2026

What these terms cover

These terms govern the consulting, engineering, and advisory services provided by Savanna Forge to clients ("you"). A written proposal and signed engagement agreement between you and Savanna Forge takes precedence over these terms wherever they conflict.

Proposals and scope

Every engagement starts with a written proposal describing the scope, deliverables, timeline, and fee. Work outside that scope is handled through an agreed change request - never through informal requests.

Because we work in small, reviewable increments, scope changes are typically cheap to catch early and expensive to add late. We'll flag both cases honestly.

Your responsibilities

To keep a project moving, we need timely access, decisions, and feedback from you. Specifically:

  • Responses to questions and requests within two working days
  • Access to the systems, credentials, and people we need, in good time
  • A named decision-maker who can approve scope and budget

Payment

Fees, payment milestones, and invoicing terms are set out in your engagement agreement. Unless agreed otherwise, invoices are payable within fourteen days.

Work already delivered is billed and payable even if you pause or end the engagement early.

Intellectual property

Upon full payment, you own the deliverables we create specifically for you - code, designs, documentation, and related assets. We retain ownership of our tools, methodologies, and any pre-existing material we bring to the engagement, and we license it to you for the purpose of the deliverables.

Confidentiality

We keep everything you share with us confidential - including the fact that you're a client, unless you tell us otherwise. We don't publish case studies or mention engagements without written permission.

Warranties and liability

We warrant that services are provided in a professional and workmanlike manner. Our cumulative liability for any claim arising from an engagement is limited to the fees you paid us for that engagement.

We're not liable for indirect or consequential losses, including lost profits, lost data, or interruption of business - even if we were advised of the possibility.

Termination

Either party may end an engagement with written notice. On termination, you pay for work completed to date, and we hand over all deliverables and materials you've paid for.

Governing law

These terms are governed by the laws of Kenya, and any disputes are subject to the exclusive jurisdiction of the courts of Nairobi.
